1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SecureCloud.ai ("we," "our," or "us") governing your access to and use of our website, products, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use our Services.

2. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our Services after such modifications will constitute your acknowledgment and agreement to the modified Terms.

3. Services Description

SecureCloud.ai offers AI security, governance, and agent risk management services designed to help organizations discover shadow AI, map sensitive data exposure, govern AI agents, and implement security controls across cloud, SaaS, and data environments. Our Services include the AI Security Readiness Assessment, the AI Security Control Tower managed service, and related consulting and reporting services.

4. Account Registration and Security

To use certain aspects of our Services, you may be required to create an account. You are responsible for:

Providing accurate, current, and complete information during registration
Maintaining the confidentiality of your account credentials
All activities that occur under your account
Promptly notifying us of any unauthorized use or security breach

We reserve the right to suspend or terminate your account if we suspect fraudulent or abusive activity.

5. Fees and Payment

The use of certain Services may be subject to fees. You agree to pay all applicable fees as described on our website or as agreed upon in a separate agreement. We may change our fees at any time by providing notice through our website or direct communication.

For subscription-based Services (such as the AI Security Control Tower), you authorize us to charge your payment method on a recurring basis. Subscription fees are non-refundable except as required by law or as explicitly stated in a separate agreement.

6. Intellectual Property Rights

Our Services and content, including but not limited to text, graphics, logos, icons, images, software, and documentation, are owned by or licensed to SecureCloud.ai and are protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purposes. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, or otherwise exploit our content without our prior written consent.

7. User Content

You may have the opportunity to submit content (e.g., feedback, data, text) to our Services ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, and display your User Content in connection with our Services.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate any third-party rights or applicable laws.

8. Prohibited Conduct

When using our Services, you agree not to:

Violate any applicable laws or regulations
Infringe upon the rights of others
Use our Services for fraudulent or illegal purposes
Attempt to access unauthorized areas of our Services
Interfere with the operation of our Services

9. Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

We do not warrant that our Services will be uninterrupted, secure, error-free, or that any defects will be corrected. We do not make any warranties or representations regarding the accuracy or completeness of any content or information provided through our Services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SECURECLOUD.AI, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES.

11. Indemnification

You agree to indemnify, defend, and hold harmless SecureCloud.ai and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from or relating to your violation of these Terms or your use of our Services.

12. Termination

We may terminate or suspend your access to our Services immediately, without prior notice or liability, for any reason, including, without limitation, if you breach these Terms.

Upon termination, your right to use our Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or our Services shall be subject to the exclusive jurisdiction of the state and federal courts located in Salt Lake County, Utah.
